An Extraordinary General Meeting will be held by Zoom video conference at 7 p.m. on Thursday 1st April 2021 to consider a proposal to modify the club's constitution in order to make it possible to register CLOK as a Community Amateur Sports Club (CASC).

Purpose of the meeting

The CLOK Committee believes that it would be advantageous to register the club as a Community Amateur Sports Club (CASC).  In particular, registering as a CASC will:-

(1)  Make it easier – and in some cases, possible – to deal with external organisations.  For example:
  • Invoicing schools for mapping, coaching and other services provided via CLOK's Schools Development Programme.  Some schools will only accept invoices from organisations that have a Unique Taxpayer Reference (UTR) with HMRC, and being a CASC will enable CLOK to get one.  Basically, if we don't register the club as a CASC then we may need to scale back or cease our schools orienteering activities.
  • Obtaining access permissions from local authorities.
  • Applying for grant funding.
(2) Get tax relief on the club's income and profits (e.g. from events, the Schools Development Programme, etc.) as long as the club's turnover remains below £50,000 per year ..... which should be the case for the foreseeable future!.
(3) Use Gift Aid to reclaim tax on donations to the club.

In order to meet the eligibilty requirements for registering as a CASC, we need to make some minor changes to CLOK's constitution.  The main change is clarifying what would happen to any club funds or equipment if CLOK was disbanded.  In this situation, the assets must be passed to a similar organisation, and the Committee is recommending to members that the new constitution specificies that in the event of disolution the club's assets will be passed to the Orienteering Foundation.

Changing the constitution requires a motion to be passed at a General Meeting attended – in person or by proxy – by at least 20% of the club members eligible to vote.  (Individual members in orienteering classes M/W 18 and above have the right to vote.)

All registered CLOK members will be sent an email notification of the EGM.  This email will include information about how to join the Zoom meeting and how to appoint a proxy if you can't attend.  If you have not received this notification by Monday 23-Mar-2021, please contact Caroline Mackenzie.
